Setting up your Professional Limited Liability Company

 If you have not already set up a proper “entity” for your real estate practice, you should do so in 2005.  Arizona law has been amended to allow any licensee to set up a Professional Limited Liability Company.  A properly constituted PLLC can provide you with:

  • Significant tax advantages (talk to your tax advisor)
  • Legal shield from personal injury and other legal risks

 Your choices are:

  • Do nothing, pay the taxes and run the risks
  • Buy a form at a store and hope it is right
  • Consult with an Arizona attorney who will customize the documents for you (probably at a cost of over $1,000 when all is done)
  • Come to our PLLC workshop with business and PLLC attorney Richard Keyt for only $399.

At this hands-on workshop, you will receive:

  • Legal guidance specifically for real estate agents
  • Forms you will fill out at the workshop – including the

            a. Articles of Organization, and
         b. Operating Agreement
         c. Instructions to complete both

  • Mr. Keyt will also address other asset protection issues common to real estate agents
  • After completing the workshop, no further action will be required of the participant to establish their PLLC. 

 Objective of the Workshop:

Participants will complete all documents during the workshop required to set up an Arizona real estate Professional LLC, including the Articles of Organization and an Operating Agreement.   Richard Keyt will file the Articles of Organization with the Arizona Corporation Commission and return a stamped copy to the participant.   After the Articles are approved, Richard Keyt will arrange to publish the Articles in a newspaper and file an affidavit of publication with the ACC.   The only exception is if the ACC rejects the filing because the name of the PLLC name selected by the participant isn't available. 

 As handouts, Richard will bring with him, a packet for each student, including, but not limited to: (i) Blank form of PLLC Articles of Organization to complete, (ii) Instructions on how to complete the form, with choices to make, (iii) Blank form Operating Agreement, (iv) Instructions and choices for completing the Operating Agreement, (v) Description of other entities, documents, and legal strategies that should be considered.
